1. Introduction

Welcome to SmartTech IT Solution. These Terms and Conditions govern your use of our Attendance Management System, biometric devices, software, and related services provided by SmartTech IT Solution.

By purchasing, installing, or using our products and services, you agree to be bound by these Terms and Conditions. Please read them carefully before proceeding.

2. Software License

SmartTech IT Solution grants you a non-exclusive, non-transferable license to use our Attendance Management Software strictly for your internal business operations.

• The software is licensed, not sold
• You may not copy, modify, or distribute the software
• You may not reverse engineer or decompile the software
• The license is valid only for the number of users/devices agreed upon
• Sublicensing or reselling the software is strictly prohibited

3. User Responsibilities

As a user of our system, you are responsible for:

• Maintaining the confidentiality of your login credentials
• Ensuring accurate employee data is entered into the system
• Regularly backing up your attendance and payroll data
• Ensuring proper network and hardware setup for biometric devices
• Not using the software for any illegal or unauthorized purpose
• Informing SmartTech of any security breach or unauthorized access

All payments for software licenses, hardware, and support services must be made as per the agreed invoice terms.

• Prices are subject to change with prior notice
• Annual Maintenance Charges (AMC) are billed yearly
• No refunds once the software has been installed and activated
• Late payments may result in suspension of support services
• GST and applicable taxes will be charged as per government regulations

5. Support & Maintenance

SmartTech IT Solution provides technical support during business hours (Monday to Saturday, 9:30 AM – 6:30 PM).

• Free support is provided during the warranty period
• Post-warranty support is available under AMC plans
• Support is provided via phone, WhatsApp, email, and remote access
• On-site support may incur additional charges
• Issues caused by user negligence or third-party software are not covered

6. Data Ownership

All attendance and employee data entered into the system remains the sole property of your organization. SmartTech IT Solution does not claim ownership of your data.

• You are responsible for data accuracy and compliance
• SmartTech will not access your data without permission
• Upon termination, you may request a full data export
• SmartTech is not liable for data loss due to hardware failure or misuse

7. Intellectual Property

All software, reports, interfaces, logos, and content provided by SmartTech IT Solution are protected under intellectual property laws.

• SmartTech retains full ownership of the software and its components
• You may not copy, reproduce, or distribute any part of the software
• Unauthorized use of our brand name or logo is prohibited

8. Limitation of Liability

SmartTech IT Solution shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our software.

• We are not responsible for data loss due to power failure or hardware damage
• We are not liable for delays caused by network or internet issues
• Our liability is limited to the amount paid for the software license
• We do not guarantee 100% uptime for cloud-based services

9. Termination

SmartTech IT Solution reserves the right to terminate your license if:

• You violate any terms of this agreement
• Payment dues remain unpaid for more than 30 days
• The software is used for illegal or unauthorized activities
• You attempt to reverse engineer or tamper with the software

Upon termination, you must stop using the software and delete all copies from your systems.

10. Governing Law

These Terms and Conditions are governed by the laws of India. Any disputes arising from the use of our services shall be subject to the jurisdiction of courts in Punjab, India.

11. Changes to Terms

SmartTech IT Solution reserves the right to modify these Terms and Conditions at any time. Updated terms will be posted on our website and notified through the software. Continued use of our services after changes implies acceptance of the updated terms.
